OPAL SHARK TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern all products, services, and solutions provided by Opal Shark Technologies LLC (“Opal Shark”, “we”, “our”, or “us”). By accepting a quote, proposal, or engaging our services, the customer (“Customer”, “you”) agrees to the following Terms.

 

  1. SCOPE OF SERVICES

Opal Shark provides technology solutions including, but not limited to:

  • Hardware and software procurement

  • Cybersecurity and physical security solutions

  • Networking and infrastructure

  • Unified communications

  • Project coordination and installation services

All deliverables are limited to what is explicitly defined in the associated quote, proposal, or statement of work (SOW).

Any additional work or changes outside of the agreed scope may result in additional charges.

 

  1. USE OF THIRD-PARTY VENDORS & SUBCONTRACTORS

Opal Shark may engage third-party vendors, distributors, and subcontractors to fulfill all or part of a project.

While we carefully select our partners, Opal Shark:

  • Is not responsible for delays, errors, or performance issues caused by third parties

  • Does not guarantee third-party timelines or availability

  • Acts as a coordinator and single point of contact on behalf of the Customer

 

  1. PRICING & PAYMENT TERMS

Unless otherwise stated in writing:

  • Payment is due upon receipt of invoice

  • Accepted payment methods:

    • ACH / Bank Transfer

    • Credit Card (subject to a processing fee, typically ~3.5%)

    • Check

Opal Shark reserves the right to:

  • Delay delivery, ordering, or project scheduling until payment is received

  • Suspend services in the event of non-payment

 

  1. TAXES

Applicable sales tax will be added to invoices where required by law.
Customers claiming tax exemption must provide valid documentation prior to invoicing.

 

  1. PRODUCT ORDERS, SHIPPING & RETURNS

  • All product orders are subject to manufacturer and distributor availability

  • Shipping timelines are estimates and may vary

  • Returns are subject to manufacturer/distributor policies and may include restocking fees

  • Special order or custom-configured items may be non-refundable

 

  1. WARRANTIES

  • All products are subject to the manufacturer’s warranty

  • Opal Shark does not provide additional warranties unless explicitly stated in writing

We will assist in coordinating warranty claims where applicable.

 

  1. PROJECT TIMELINES & DEPENDENCIES

Project timelines are estimates and depend on factors including:

  • Customer responsiveness and approvals

  • Site readiness and access

  • Vendor and equipment availability

Opal Shark is not liable for delays caused by factors outside of our control.

 

  1. CHANGE ORDERS

Any changes to the agreed scope, including:

  • Additional work

  • Design changes

  • Site condition changes

May require a revised quote and written approval before proceeding.

 

  1. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

Opal Shark shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of business, revenue, or data

  • Downtime or operational disruption

Total liability, if any, shall not exceed the amount paid by the Customer for the specific products or services in question.

 

  1. INSTALLATION & SITE RESPONSIBILITIES

Customer is responsible for:

  • Providing safe and reasonable access to the site

  • Ensuring required infrastructure (power, internet, etc.) is available

  • Obtaining any necessary permits or approvals unless otherwise agreed

Any delays or additional costs resulting from site conditions may be billed accordingly.

 

  1. ACCEPTANCE

By approving a quote, signing a proposal, or authorizing work to begin (including via email), the Customer agrees to these Terms & Conditions in full.

 

  1. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the State of Texas.
